Businesses routinely exchange information with many levels of government and in many contexts, such as contracting, regulation and others. Counsel are often faced with a dilemma when they either want to or are asked to share with the government information that is confidential or privileged. BTW, various government agencies likely have such information of your competitors as well, and you may be able to access it. This program will be a lively discussion of scenarios involving difficult decisions faced by in-house counsel.

Reductions in force (“RIFs”) are, unfortunately, a part of today's current climate. This session will discuss legal implications and best practices related to RIFS, such as minimizing the risk of discrimination and retaliation claims, drafting and distributing severance packages, supplying required legal notices, communicating to employees, and planning the post-RIF workforce.

1:15 pm to 2:15 pm – How GC’s can protect themselves from getting into trouble during government investigations (Ethics)
This program is designed for corporate counsel, and will examine the fine line between aggressive advocacy and obstruction of justice during federal and state investigations. The program will begin with a discussion of the elements of obstruction charges under both federal and Pennsylvania law. We will then discuss the act of giving legal advice, the ethical limits imposed on counsel when giving advice, and whether it offers any legal safe harbor to allegations of obstruction of justice. Next, the program will feature a discussion of several examples of prosecutions of corporate counsel for obstruction-related charges. Finally, the program will conclude with a discussion of how corporate counsel can aggressively and ethically deal with prosecutors and investigators without personally running afoul of the law themselves.

As corporate counsel, you may find yourself charged with the responsibility to determine when, why, and how to conduct an internal investigation of alleged wrongdoing within your company. This program is designed to provide an overview of conducting an effective internal investigation and will address best practices for preparing, investigating and/or overseeing an investigation, preserving relevant data, and handling the findings of an investigation to mitigate litigation risks for the company.
