<DIV><SPAN><STRONG>Xavier M. Brandwajn</STRONG></SPAN><BR><BR>Xavier Brandwajn is a seasoned litigator on Alston & Bird’s Intellectual Property Litigation Team. Xavier specializes in representing Silicon Valley and international clients in high-stakes patent and other intellectual property disputes in federal and state courts, the International Trade Commission and arbitration. He has extensive experience representing technology companies of all sizes in patent, trade secret, copyright, trademark and complex commercial disputes from inception through trial. Xavier has experience litigating cases involving a wide array of technologies, including data communications and network storage solutions, KM switching systems, integrated circuits, nonvolatile memory devices, pedestrian crosswalk systems, radio frequency identification, mobile aggregate material processing plants and arcade game consoles. He also has experience counseling clients in licensing transactions, patent assertion strategies and other IP-related issues.<BR><BR>Xavier has been named to the Northern California Super Lawyers list since 2012. In April 2014, the Legal Aid Society of San Mateo County honored him with the Dorothy M. Wolfe Award for outstanding pro bono commitment.<BR></DIV>

<DIV>Co-Chair of the Venture Capital and M&A Practice, will address common legal challenges and issues in launching a new start-up company. Starting with the pros and cons of operating in the US under typical corporate structures, he will then address two of the most common issues encountered by new ventures, successfully retaining critical skills and talents of employees and contractors while staying compliant with US state and federal labor requirements, and successfully raising funds in the active US market for investing in early-stage companies.<BR><BR>Ted Hollifield is a partner at Alston&Bird, specializes in corporate and securities law with an emphasis on public equity and debt offerings, venture capital financings, mergers and acquisitions and general representation of emerging growth companies. His clients include established public corporations and private, venture-backed companies, and he has substantial experience representing clients in the telecommunications, electronic design automation (EDA), semiconductor, Internet and software industries. Ted also counsels boards of directors, CEOs and executive management on equity compensation, corporate governance, Sarbanes-Oxley Act and other regulatory and disclosure matters.<BR><BR>Ted has successfully completed numerous venture capital and other private placements, as well as several public offerings and secondary public offerings. He has also consummated multiple negotiated acquisitions and dispositions, including stock and asset purchases and mergers.</DIV>
