The Startup Station, an educational and consulting company specializing in modeling and valuing early-stage ventures, presents a 5-Class Series to model, value, and finance early-stage startups. This MBA-level series is sponsored by Adecco Staffing and Changing The Present.

The Startup Station has helped hundreds of founders just like you to learn the language of business and finance so that you can effectively communicate with investors and ensure that your venture is financially successful.

The class price includes live instruction and all PowerPoint and Excel materials.

All classes can be attended in person or online. You will receive Zoom instructions on how to attend a few days before class.

There are two tracks for the Series:

1) For product startups, and

2) For software and service startups.

Three classes are common to both tracks, and two classes are specific to each track. You can register for any number of classes, including all seven classes (both tracks) to learn how to model any early-stage startup.

After completing our curriculum, you will be able to:

  • Formulate credible assumptions for your business model,

  • Build pro-forma financial projections for your business,

  • Value your startup,

  • Select your financing vehicle and negotiate your term sheet, and

  • Understand the basics of financial accounting and analysis.

PREREQUISITE: NONE.

Note 1: classes 3 and 4 have two versions for each track on different days. Please pick the appropriate day for you.

February 5, 6:00pm - 8:00pm Class 1, Both Tracks, Adecco: Financial Accounting and Analysis.

This is the foundational class where we are going to learn the language investors use to evaluate the financial feasibility of your venture. Specifically, you will learn about the structure of and how to construct three main financial statements (Income Statement, Balance Sheet and Cash Flow Statement).

We will also cover key performance indicators, which are different ratios used to measure your expected or realized financial performance, and how to perform break-even analysis (or identify the point at which your company becomes profitable or the number of products/services you need to sell to cover your fixed costs).

February 12, 6:00pm - 8:00pm Class 2, Both Tracks, Changing The Present: Valuation Models and Financial Modeling Basics.

In this class you will learn how to value early-stage startups. We will begin with basic valuation concepts such as the cost of capital, total investors' return, and the terminal value. We will then discuss two valuation approaches: quantitative and qualitative, and specific models for each.

The models covered are The Venture Capital Method, The Discounted Cash Flow Method, The Chicago Method, The Dave Berkus Scorecard, Bill Payne’s Scorecard, The Risk Factor Summation Model, The Replacement /All-In Method, and The Rule of Three. Finally, we will cover how to create and maintain your capitalization table

In the second part of the class, we will talk about financial modeling basics - specifically how to set the price for your product or service and how to estimate demand for a company with little to no financial history.

February 17, 6:00pm - 8:00pm Class 3A, Product Track, Changing The Present: Financial Modeling of Product Startups: 8 Distribution Channels.

In this class you will learn how to model any product startup. We will begin with the framework "Business Model Analysis Roadmap" which you can use to create financial model assumptions for any early-stage venture.

We will then cover how to apply this framework to eight distribution channels, how to credibly formulate assumptions for each, and how to model most common business scenarios. The channels covered are e-commerce, brick and mortar, events, sales reps, international and domestic distributors, big box retailers, and joint ventures.

We will also cover how to model variable and fixed costs and include a special section on inventory.

In this class you will learn how to model any software or service startup. We will begin with the framework "Business Model Analysis Roadmap" which you can use to create financial model assumptions for any early-stage venture.

We will then cover how to apply this framework to eight business models, how to credibly formulate assumptions for each, and how to model most common business scenarios. The models covered are SaaS, Advertising, Pay-Per-Use, Data, Marketplace, Service, Software Product, and Freemium.

We will also cover how to model variable and fixed costs.

In this class you will learn how to build a financial model start to finish from a given set of assumptions. This course combines everything you learned in the first three courses in one comprehensive example.

We cover four distribution channels and four go-to-market strategies.

You can use the resulting financial model to build your own. It is easily customizable and is complete. The financial model will contain Revenue Projections, Salaries, Fixed Costs, P&L, Fixed Asset Projections, Working Capital Projections, Balance Sheet, Cash Flow Statement, Free Cash Flow and Valuation, Funding Needs, Customer Acquisition Costs, Break-Even Analysis, and Financial Summary.

March 4, 6:00pm - 8:00pm Class 5, Both Tracks, Adecco: Fundraising Strategy and Financing Vehicles.

In this class you will learn about three main financing vehicles (equity, SAFE and convertible debt), how they are structured, their advantages and disadvantages and how to choose the best vehicle for you. You will also learn how to evaluate accelerators, how to look for investors, even if you have no network, and what other terms you should be negotiating (i.e. control rights, information rights, anti-dilution, etc.)
