NO PURCHASE NECESSARY. PURCHASES WILL NOT INCREASE YOUR CHANCES OF WINNING.

Please read these rules before entering the NOTTE ITALIANA SWEEPSTAKES. You agree that by submitting an entry, you acknowledge that you are bound by these rules, and you certify that you satisfy all eligibility requirements set forth herein.

SPONSOR: This promotion (the “Sweepstakes”) is sponsored by Eataly Los Angeles (the “Sponsor”), subject to the following terms and conditions. This promotion is in no way sponsored, endorsed or administered by, or associated with, [Instagram or Eventbrite].

ELIGIBILITY: No purchase is necessary to enter or win the Sweepstakes. This Sweepstakes is open to legal residents of the United States only, excluding residents of [Rhode Island, Puerto Rico, and other U.S. Territories]. This Sweepstakes is void where prohibited by law. You must be 18 years or older at the time of this Sweepstakes to be eligible to enter, and you must possess a valid form of identification. Sponsor and Sponsor’s parents’ and affiliates’ employees and their immediate family members (parents, spouses, children, siblings, or grandparents) are NOT eligible to participate in the Sweepstakes.

HOW TO ENTER: During the Sweepstakes Period (defined below), a participant may enter by liking and commenting and resharing the Notte Italiana Instagram post, related to the sweepstakes, on their story. Entry is limited to one (1) entry per person. Entrants may not create multiple entries through use of numerous [Instagram accounts] or use of multiple email addresses.

Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Sponsor is not responsible for any problems or technical malfunction of any telephone network or telephone lines, communication transmissions, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer or mobile device relating to or resulting from participation in this Sweepstakes or downloading any materials in this Sweepstakes. Cellphone carriers may charge for data usage for entering the Sweepstakes using a mobile phone.

Entry by Email/Mail: To enter by email, send an email with the subject line Notte Italiana SWEEPSTAKES to la.events@eataly.com with your name, complete address and telephone number (including area code). All email entries must be received by Thursday, September 11, 2025 at 12:00am PT to be eligible for entry. To enter by mail, print your name, complete address, email address (if applicable) and telephone number (including area code) on a 3” x 5” card and mail it with proper postage to: 10250 Santa Monica Blvd, Los Angeles, CA 90067. All mail-in entries must be received no later than Thursday, September 11, 2025, at 12:00am PT to be eligible for entry.

MAILING LIST: By entering this Sweepstakes, you agree to receive newsletters and other promotional material from Sponsor. You may update your newsletter subscription preferences upon receipt of any newsletter email from Sponsor.

TIMING: Sweepstakes begins on Monday, September 8, 2025 at 12:00pm PT and ends on Thursday, September 11, 2025 at 12:00am PT (the “Sweepstakes Period”). No entries will be accepted after Thursday, September 11, 2025 at 12:00am PT.

PRIZES AND ODDS: At the end of the Sweepstakes Period, one (1) winner (the “Winner”) will be selected by a random drawing from all eligible entries received during the Sweepstakes Period. The Winner shall be awarded one 1) Notte Italiana tickets in the amount of $100 excluding tax (the “Prize”).

Odds of winning the Prize will depend upon the number of eligible entries received.

The Prize is nontransferable and must be accepted as awarded. No substitutions, cash equivalents, or transfer of the Prize are permitted, except at the sole discretion of the Sponsor, who reserves the right to substitute the Prize (or portion thereof) with one of comparable or greater value. The Winner will be solely responsible for all taxes (federal, state, and local) and all expenses, including travel expenses and ground transportation, not listed herein as being provided as part of the Prize related to acceptance and use of the Prize. The Prize will be awarded only if properly claimed. Limit one (1) Prize per household. Unclaimed prizes will be forfeited.

In the unlikely event that the Prize is unavailable for any reason beyond Sponsor’s reasonable control, the Winner agrees that Sponsor shall have no further obligation to the Winner.

NOTIFICATION, RESPONSE REQUIREMENTS: Drawing of the Winner will be made no later than [Thursday, September 11, 2025 at 3pm PT] through [the use of on-line software which will randomly select a winner from the eligible participants]. We will notify Winner via email or by direct message on Instagram within approximately [3 hours] of the drawing. “Notification” is deemed to have occurred immediately upon sending a direct message or an e-mail to the entrant. Within [6 hours] of notification, the Winner must complete, execute and return to Sponsor any tax form, affidavit, waiver, release, indemnity agreement, and/or any additional documents required by Sponsor in Sponsor’s sole discretion and/or required by applicable tax authorities. Failure to comply with the requirements of this paragraph (or the return of the Prize or notification as non-deliverable) may result in disqualification and in the forfeiture of any right to the Prize, in which case the Prize will be awarded to an alternate participant by random drawing.

The Prize will be awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). Eligible entries are those in which all entries have been completed correctly and otherwise comply with these Official Rules. Sponsor reserves the right to disqualify any participant or Winner and may refuse to award the Prize to a person who is ineligible or has violated any rule, gained unfair advantage in participating in the Sweepstakes, or obtained winner status using fraudulent means.

The Sponsor will choose the means it deems most appropriate to deliver the Prize to the Winner, including without limitation [by email or overnight courier]. Sponsor expressly disclaims any

liability arising out of any delay or failure to deliver the Prize due to reasons beyond Sponsor’s reasonable control, including without limitation interruption, defect or delay in operation or transmission over the Internet, electronic or electrical interference, system failure or computer virus if the Prize is delivered electronically, or any delays or delivery failures caused by weather conditions, fire, strikes, boycotts, delays in transportation, etc. if the Prize is delivered by overnight courier. Without limiting the generality of the foregoing, Sponsor shall not be liable for any lost, stolen, destroyed, damaged, and/or counterfeited tickets.

RELEASE: By participating in the Sweepstakes and/or accepting the Prize, a participant/Winner agrees to defend, release and hold harmless the Sponsor, Instagram and each of their respective parents, subsidiaries, affiliates, divisions, advertising and promotion agencies, and the foregoing companies’ officers, directors, shareholders, employees, representatives and agents (collectively “Releasees”) from and against any actions, claims and/or liability for injury, loss or damage of any kind, (including the violation or infringement of any proprietary or personal right of any individual or entity) resulting in whole or in part, directly or indirectly, from participation in the Sweepstakes, and/or the use, acceptance, or possession of the Prize, and/or participation in a Sweepstakes prize-related activity, including any action, claim or liability arising from the unauthorized submission of any information. By participating in the Sweepstakes and/or accepting the Prize, a participant/Winner consents to and gives the Sponsor the right to use, publish, and display the Winner’s (and where applicable a participant’s) full name, city and state, and Prize awarded, for advertising, trade, publicity and/or promotional purposes, in any media now known or hereafter discovered, worldwide, and on the Web, without review, notification or approval, all without additional consideration, unless prohibited by law.

CONDITIONS: Participants agree that by participating in the Sweepstakes they release the Releasees from any liability in connection with: a) Entries that are ineligible as a result of being lost, late, illegible, damaged, incomplete, stolen, postage due, or misdirected; b) any typographical or other human or technical errors in the offer or administration of the Sweepstakes, including but not limited to errors in advertising, these Official Rules, the selection and announcement of a Winner, or the distribution/awarding of the Prize; c) any omission, interruption, deletion, defect, delay, misdirection, damage, injury, technical malfunctions or traffic congestion on the Internet/telephone network, or at any website, or any combination thereof.

LAW: All federal, state, provincial and local laws and regulations apply. Void where prohibited by law. By entering the Sweepstakes, participants agree to be bound by these Official Rules and the decisions of Sponsor, which are final and binding in all respects. Entrants who do not comply with these Official Rules, or attempt to interfere with the Sweepstakes in any way, shall be disqualified. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of entrants’, Sponsor or the

Releasees in connection with the Sweepstakes will be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws. The parties hereby consent to exclusive jurisdiction and venue of the courts located in New York County, New York in any action to enforce (or otherwise relating to) these Official Rules or relating to this Sweepstakes.

GENERAL: Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. Sponsor reserves the right to disqualify entrants who violate these Official Rules or interfere with this Sweepstakes in any manner. If an entrant is disqualified, Sponsor reserves the right to terminate that entrant’s eligibility to participate in the Sweepstakes. Sponsor reserves the right, in its sole discretion, to modify, cancel or suspend part or all of this Sweepstakes at any time without notice and for any reason, including if in Sponsor’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Sweepstakes, or if virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness, or integrity and proper play of the Sweepstakes.
