How do I become a member?

Accepted Answer

Choose a membership option, check eligibility, and pay your first-year dues. After payment, you'll be guided through onboarding to start investing (Full Members) or access educational resources (Associate Members). Membership also includes free access to the Angel Capital Association.

How can I see the deal pipeline?

Accepted Answer

Access the deal flow management platform through the Member Portal. Our member-only tool handles the deal funnel and pre-investment workflow. Most members have view-only access, while screening committee members and admins have expanded user rights for deal management.

Question 3

Where can I find upcoming pitch events?

Accepted Answer

Go to the events menu and select upcoming events. Pitch events are member-only and you must be logged into our website to see pitch events on the calendar. When you are not logged in you can only see events open to non-members.

What is the minimum investment amount?

Accepted Answer

Each company sets a minimum check size. Wharton Alumni Angels pools member investments into an SPV for a single check. If total investments fall short, we may not invest. Members must invest at least $5K per deal,  Full Members are expected to invest $20K/year or volunteer. Investors share SVP cost.

How are deal negotiations managed?

A Deal Lead is the main contact for the entrepreneur and updates leadership. Wharton Alumni Angels prefer deals with Financial Info and Pro Rata rights and doesn’t invest in Rule 506(c) offerings or pass-through entities. If no investor can negotiate, an experienced member will assist.

What is the Due Diligence process?

Full Members handle due diligence with support as needed. Investors research deals, consult experts, and access legal counsel if required. Most deal terms are straightforward and answered by members.

Question 7

How are are Wharton Alumni Angels' deals syndicated for its members?

Accepted Answer

We invest via an SPV, usually a Delaware LLC. Investors cover SPV expenses, capped annually to lower costs. For each investment, the SPV collects member contributions to cover LLC cost. Full Members pay only when investing. Wharton Alumni Angels charges no management fees or carried interest.

What securities are used for a typical investment?

Each deal security type is unique and may be different from others. We've invested using Convertible Notes, SAFEs, Preferred Stock, and Debt with Warrant Coverage. Common stock deals are unusual. Wharton Alumni Angels avoids Rule 506(c) and pass-through entities.

What is the investment process?

Full Members should indicate interest in a deal using the Member Portal. If oversubscribed, investment rights are allocated on a first-come, first-served basis. Investors handle due diligence and review deal documents. Leadership provides support, and Wharton Alumni Angels signs definitive documents

Does Wharton Alumni Angels co-invest or share deals with other investors?

Accepted Answer

We may invite other angel networks or VCs to invest but first offer deals to Wharton Alumni Angels. We get the entrepreneur’s permission before sharing and ensure our investors have allocation. Backroom deals excluding members are prohibited.

How are deals tracked post investment?

Accepted Answer

Investors access the SPV LP Portal for deal data and valuations. Portfolio Managers and Deal Leads track company progress, ensure reports are received, and stay informed on follow-on financing.

Accepted Answer

Wharton Alumni Angels hosts global events. Members get free ACA training. Gain hands-on experience by screening deals, reviewing docs, and leading deals with guidance from experienced members.
