ABOUT THE SPEAKERS:

Kourosh Kohanteb, Financial Consultant Executive - is a seasoned corporate finance executive, with broad based experience for a variety of high technology and healthcare companies. He is currently consulting with a number of growing organizations involved in Mergers & Acquisitions on both buy and sell side. Prior to his current position, Kourosh held a career at Broadcom Corporation with a number of senior level finance leadership roles including vice president of finance leading FP&A, leading financial systems, supporting worldwide operations, and supporting general and administrative and merger and acquisition functions. During his tenure, the company grew from $0.5B to $8.4B in annual revenue and from less than 1,000 to over 12,000 employees. Prior to joining Broadcom, Kourosh held a career at Western Digital, including acting as manufacturing controller for Asia, an expatriate position residing in Singapore, financial planning and analysis director, R&D controller, and internal audit manager. He started his professional career in public accounting in London with a U.K. national firm, completed his Chartered Accountancy qualification in England, and received his CPA qualifications in California. Kourosh graduated from University of Manchester, England with an honors B.Sc. degree in Computer Information Systems.

Tyson Freeburg, Transactional Insurance Specialist, Woodruff Sawyer - is a transactional insurance specialist at Woodruff Sawyer focusing on the placement of Representations & Warranties insurance along with other transactional insurance products. Tyson partners with both private equity and strategic buyers and sellers to protect their investments. His experience includes working on a number of deals that vary in size and industry sector. Tyson previously served as Captain in the United States Marine Corps as a helicopter pilot, and is an MBA-graduate from Ashford University.

Judy Loo, Director, Financial Due Diligence, KPMG - For nearly a decade, Judy has been providing audit, transaction and financial due diligence services for KPMG clients in the greater Los Angeles area. Currently, her focus is on providing both buy side and sell side financial due diligence for strategic corporations and private equity clients on targets within the media and entertainment, manufacturing, telecommunications,medical and consumer markets industries. Judy graduated from the University of Southern California with Master’s and Bachelor’s Degrees in Accounting.

Allan Siposs, Managing Partner, Keystone Capital Markets, Inc. - For over 30 years, Mr. Siposs has assisted hundreds of business owners by planning and directing the valuation and sale of their companies. Allan specializes in the sale of private companies, with an emphasis on the development and implementation of strategies designed to rapidly achieve client objectives, and maximize shareholder value. His efforts on behalf of business owners have resulted in increased shareholder net worth totaling hundreds of millions of dollars. During his many years of investment banking, Mr. Siposs has executed transactions across a broad range of industries, and involving diverse enterprises, including manufacturing, distribution, business services, consumer products, electronics, healthcare, food & beverage, and building materials. Allan earned his Masters of Business Administration from the University of California, and has a Bachelor of Arts degree in Marketing from California State University. He is a Series 7, 63, 79 and 99 Registered Securities Representative and a Series 24 Registered Principal, and is a member of the Board of Directors of the Association for Corporate Growth. He is an avid endurance athlete, has run a sub 2:25 marathon, and has finished in the top 10% of the field at the Ironman World Triathlon Championships, in Kona, Hawaii.

Richard K. Zepfel, Partner, Payne & Fears - is a partner based in the Irvine office of Payne & Fears LLP, concentrates his practice on business transactions and employment law counseling. Rich has extensive experience handling corporate transactions such as mergers and acquisitions and major contracts. He handles real estate matters including acquisitions and leasing of commercial and industrial properties. Rich's employment law practice includes preparation and negotiation of executive employment agreements, executive compensation plans and equity incentives, separation/severance agreements and employee handbooks. Rich is a member and a past chair of the Orange County Bar Association, Business and Corporations Section and a Former Licensed Real Estate Broker. Before joining Payne & Fears LLP, Rich was the managing partner of the Orange County office of Graham & James LLP, and previously an associate at Paul, Hastings, Janofsky & Walker. Rich earned his J.D. From the University of Southern California and his B.A. in Political Science from University of California, Los Angeles.
