Are you working on a start-up and asking yourself what you should be doing to make sure you've taken proper legal steps for your company? Do you wonder how and whether to incorporate? Are you questioning what you should be asking yourself about the legal aspects of your endeavor?


As part of the Boston Innovation and Entrepreneurship Network (BIEN) Speaker Series, join us for a panel discussion with experienced lawyers from WilmerHale, Foley & Lardner, and Greenberg Traurig who work directly with startups and investors so that you can learn and understand what legal steps to take as you move your concept forward. Panelists are:


Gabor Gerai: Gabor is co-chair of Foley & Lardner’s Transactional Practice Group. His practice encompasses all legal and business aspects of structuring, financing and managing various types of investment funds; negotiating mergers, acquisitions and dispositions of portfolio companies; structuring investments in emerging companies; and participating in strategic decisions of funds and fund-owned companies. He also counsels technology companies in their entire range of legal issues from inception to IPO, M&A or other exit. Gabor addresses the strategic issues facing his clients through a combination of practical, business-oriented solutions and highly sophisticated financing techniques. Gabor graduated with a J.D. from Harvard Law School in 1976, and earned a B.A. from Harvard College in 1973.


Emily Ladd-Kravitz: Emily is a corporate associate at Greenberg Traurig, LLP where she advises start-up and growth-stage companies in all aspects of transactional work, including corporate formation, operating agreements, and governance strategies, as well as investment transactions and exit strategies.  Emily also represents venture capital funds, private equity firms, and other institutional investors in mergers and acquisitions, private placements, minority investments, venture capital financings and corporate governance matters. Emily’s clients span a variety of industries including technology, life sciences, medical devices, clean energy and sustainable solutions.  She is a frequent speaker on the corporate issues facing early stage companies and investors.


Jenna Ventorino: Jenna is a senior associate at WilmerHale, where she provides ongoing counsel to private and public companies in the biotechnology, software, telecommunications and clean technology industries. Her practice includes counseling emerging companies throughout their lifecycle and in venture capital financings and exit transactions. She has particular experience with licensing transactions including joint venture arrangements, strategic alliances and other collaboration deals. She is also an active member of WilmerHale's Women's Leadership Initiative and leads the east coast's Female Founders initiative—an effort that brings awareness to the issues facing leaders and executives from women-led startup businesses.

Time: 6:30-8:00pm (6:30-7:00pm-light supper), Panel discussion starts sharply at 6:45pm.

Venue: MIT Sloan, Building E62, Room 223, (100 Main Street, Cambridge)

Parking: The closest parking lot is the Hermann Garage. When you turn into the E62 parking lot from Wadsworth Street, the garage is the very first right. It is a small garage without a gate.
