The following is the start up phase or Business set up phase
We service Singapore resident (a Singapore citizen or permanent resident) or
holder of Singapore Employment Pass/EntrePass/Dependent Pass and any non local businesses.
We have reasonable sound knowledge of the Companies Act to services our prospects and clients.
We have responsible Singapore Company Secretary for the following responsibilities:

Board Meetings
1. Coordinate the company’s formal decision making and reporting process
2. Formulate meeting agendas with the chairman and /or the chief executive
3. Attending meetings and taking minutes
4. Maintaining minute books
5. Certifying copies of minutes
6. Ensuring that correct procedures inline with Singapore Business Regulators
General Meetings
1. Obtain internal and external agreements to all documentation for circulation
2. Shareholders
3. Coordinate the administration

6. Ensure correct procedures
Company Constitution
1. Ensure company complies with its constitution
2. Draft and incorporate amendments in accordance with the correct procedures
Statutory Registers and Books
1. Maintaining statutory registers

Update ACRA
1. Any changes
2. Any Report and Accounts
3. Coordinate publication and distribution
4. Company’s annual report, accounts and interim statement
5. Prepare directors’ report.
6. Share Registration
7. Maintain company’s register of members
8. Assist transfers and other matters affecting shareholdings
9. Attend queries and requests from shareholders
10. Shareholder Communication
11. Communicate with the shareholders via circulars and others
12. Pay dividends and interest
13. Issue documentation about rights and capitalization issues
14. General shareholder relations
15. Relationship of institutional shareholders and their investment protection committees.
16. Shareholder Monitoring
17. Monitor movements of register of members
18. Identify an apparent ‘stake-building’ in the company’s shares by potential takeover bidders
19. Inquiries of members as to beneficial ownership of holdings
20. Share and Capital Issues

22. Implementation of changes in the structure of the company’s share and loan capital and devising
23. Implement and administer directors’ and employees’ share participation schemes.
