Over the past year, venture financing has become more challenging as valuations drop, deal terms get tougher and rounds take longer to close.  This program will focus on steps that companies should take in anticipation of longer fundraising cycles.   In addition, we will discuss the impact of down rounds and how best to prepare for them.  Finally, we will discuss some of the funding terms that are more common in difficult markets and provisions such as “pay to play” that are invoked more frequently when companies find the next round hard to close.

Speaker: Dror Futter (http://www.mccarter.com/Dror-Futter/) is a partner in the Venture Capital and Emerging Growth Companies practice of McCarter & English, LLP. Dror has more than 20 years of high tech and intellectual property legal and business experience, including as the former General Counsel to Vidyo, Inc. and New Venture Partners LLC, and as Corporate Counsel at Lucent Technologies, Inc. Dror is a recognized thought leader in the areas of venture capital and technology transactions. He has served on the Model Forms Drafting Group of the National Venture Capital Association and is a frequent speaker on venture related topics for Meetups and conferences. Dror holds a B.A. from Princeton University, a J.D. from Columbia University School of Law and an Executive MBA from the American Electronics Association Executive Institute of Stanford University.
