Join us for "Let’s Talk Legal - How to... Navigate the Legal Landscape: A workshop for early stage ventures.” This workshop is designed to help entrepreneurs demystify the legal landscape and fill in the blanks. It is organized in partnership with Blakes, one of Canada’s leading law firms.

This interactive workshop is dedicated to giving you the keys to a successful business, from creation to exit. The lawyers presenting these workshops have extensive experience working with life sciences companies ranging from very early-stage ventures through to multi-national public companies.

Session 1 | Introduction to Legal Basics for Start-ups and Protecting your Intellectual Property

You’ve always been a successful scientist and now you want to become a successful entrepreneur!  However, keep in mind that your science plays a key part in your life sciences business. You want to share the secret sauce, but only on your terms.  How do you make this happen?

This practical session will give a brief overview of organizing your venture with an eye to the future & how intellectual property (IP) can be used in your life science business:

  • How to establish an appropriate foundation for your venture and anticipate future legal issues
  • How to address common legal issues for early-stage companies
  • Identifying the types of IP relevant to your business
  • Protecting and managing IP of your business
  • What investors look for in IP due diligence and how to avoid common pitfalls
 

Session 2 | Venture Financing: What to Expect and Strategies for Success

You’re past the initial stages in establishing your venture and are ready to take it to the next level - raising capital. What should you expect during the course of a pivotal early stage company financing round and what are the strategies for ensuring your objectives are met and your interests are protected?

This session will focus on how to approach a major financing round:

  • Common types of deal structures
  • Strategies for protecting your interest
  • Strategic investors v. venture capital
  • Deal terms that are commonly subject to heavy negotiation

Christopher Jones | Partner, Blake, Cassels & Graydon LLP
Christopher's practice focuses on mergers and acquisitions and private equity, venture and corporate finance transactions. He regularly advises Canadian, U.S. and other international clients on a wide variety of public and private acquisition and business combination transactions, public offerings and private placements of equity and debt securities. His clientele include private equity, venture capital and pension funds and businesses that range from early-stage ventures to publicly-traded, multi-national corporations operating in a variety of industries, including biotechnology, pharmaceuticals, technology and manufacturing.

Anthony M. Prenol | Partner, Patent & Trade-mark Agent, Blake, Cassels & Graydon LLP
Anthony is the Practice Group Leader for the Blakes Intellectual Property group. He is involved in all aspects of the clearance, prosecution and enforcement of intellectual property rights. He is a lawyer, patent agent and trade-mark agent.

Anthony's litigation practice focuses on patent, trade-mark, copyright and trade secret litigation. He has represented clients at all levels of court up to the Ontario Court of Appeal and the Federal Court of Appeal. He has also represented clients before various administrative tribunals such as the Trade-marks Opposition Board and Advertising Standards Canada.

Anthony is responsible for the prosecution of patent and trade-mark portfolios for clients in a wide variety of industries. He also regularly advises clients on areas such as data protection, comparative advertising, matters arising under the Patented Medicines (Notice of Compliance) Regulations, official marks and the intersection of intellectual property and competition law.
