The recently passed JOBS Act changes the investing game dramatically for small startups hoping to make it big.  Join fundraising experts Jim Fulton, Arie Abecassis, and Kiran as they discuss the changes the JOBS Act brings to the landscape, including: crowdfunding, the ability to have more investors, and the option to solicit investors in advertisements (previously outlawed by the SEC).  But don’t solicit quite yet! Some of these changes don’t take place until September 23rd.

Jim Fulton is a partner in the Emerging Companies practice group and partner-in-charge of Cooley's New York office. He joined the Firm in 1995 and is resident in the New York office. Prior to his tenure in New York, Jim spent 17 years practicing in Cooley's Palo Alto office where he was firm-wide Chair of the Emerging Companies practice group and co-chair of theClean Energy and Technologies group.  Jim focuses on representing both emerging and established technology, healthcare and biotechnology companies and the venture capital firms that invest in those companies. Concentrating in corporate and securities law, he counsels companies throughout their lifecycle on matters ranging from company formations, private financings, employee equity incentives and executive hiring, to complex spinouts, mergers and acquisitions, IPOs and SEC reporting and compliance.  Jim was named on the 2012 AlwaysOn Power Players in Greentech list and one of the Top 25 Clean Tech Lawyers in California by The Daily Journal in 2011. He was also recognized in The Best Lawyers in America in the category of corporate law and venture capital law in 2008-2012 and Northern California Super Lawyer in the category of securities and corporate finance in 2007-2012. Prior to joining Cooley, Jim was a senior budget analyst with the U.S. Government's Office of Personnel Management for six years.



Kiran Lingam is General Counsel atSeedInvest, a leading equity crowdfunding technology Platform.  SeedInvest helps angel groups, incubators, private funds and industry groups power their own private funding platform in compliance with the new and developing regulatory landscape.  Prior to SeedInvest, Kiran worked at a corporate and securities attorney at the law firms of Jones Day LLP and DLA Piper LLP, where he served as outside legal counsel to venture capital and private equity funds, angel groups and over 30 technology startups.  He has seen first-hand the struggles encountered by early stage entrepreneurs and believes strongly that many more startups would be successful with additional avenues for early stage capital.  Since passage of the JOBS Act, Kiran has been an active speaker, writer and commentator on crowdfunding and the related legal issues.    He is a Charter Member and Executive Team member of TiE (The Indus Entrepreneurs) and is an active member of a number of groups in the New York startup community.   Kiran received a B.A. in Economics from Cornell University and a J.D., with honors, from the University of Georgia.
