On April 5, 2012, President Obama signed into law the Jumpstart Our Business Startup Act (JOBS Act) which makes substantial changes to the existing securities laws. Of particular interest to the startup community are the crowdfunding provisions, which will provide a powerful new tool for small businesses to raise funds in the public market place. As a result of the new law, many of the previous restrictions on equity financing will be reduced, significantly expanding the opportunities for companies seeking funding at the critical early stages of their growth.
In this event, a panel of experts, including representatives of major accounting, law and investment banking firms, will explain the provisions of the new act, how they differ from existing law, and the likely impact on the marketplace for early-stage financing. Attendees of this informative panel presentation will gain meaningful insight into what to be thinking about now in order to take advantage of these sweeping reforms as they unfold. This session will include networking time and will be of value to companies, investors and others active in the startup community.
Sacha Ross, Associate, Wilson Sonsini Goodrich & Rosati - Sacha Ross works out of the New York City office of Wilson Sonsini Goodrich & Rosati (WSGR), the premier legal advisor to technology, life sciences, and other growth enterprises worldwide.
Sacha represents clients at all stages of their life cycle, with an emphasis on working with entrepreneurs and fast-paced, growth enterprises. He has worked closely with a diverse range of many of the most exciting technology companies on both coasts, from start-ups to MNCs, in a diverse range of critical transactions, including: venture capital, seed and angel financings; public and private offerings; and mergers and acquisitions. He also advises clients in complex securities matters, corporate governance matters, joint ventures and strategic transactions. Additionally, Sacha has extensive experience representing the institutions that finance growth enterprises, including venture capital funds, strategic investors, seed investors and angel investors.
Sacha initially spent five years practicing at WSGR in Silicon Valley. Before returning to WSGR in New York, he was the senior vice president for a growth technology company where he focused on business development, business strategy, and fund raising, and also acted as its general counsel. Prior to graduating from Cornell Law School, cum laude, Sacha received his M.B.A. in finance from New York University's Stern School of Business while working at Deloitte and Touche. Sacha is a co-author of "Financing" chapter, Capitalizing & Protecting New Businesses, California Business Start-Up Series CEB, Continuing Education of the Bar. Sacha also received a B.A. from Cornell University and is a member of Cornell’s Entrepreneurship@Cornell Advisory Council.
Scott A. Weisman, Co-Founder, Etico Capital LP
Scott is the co-founder and a managing member of Etico Capital LP, a merchant banking and advisory firm. Established in 2007, Etico Capital invests its capital and sources third party capital for small capitalization, high-growth companies as well as leverages its expertise and relationships to assist clients in accelerating growth. Mr. Weisman specializes in indentifying and “institutionalizing” emerging growth companies with a disruptive and defensible market advantage. From 2003 to February 2007, Mr. Weisman was a private investor and served as a managing director of McGinn, Smith & Company, Inc., an investment banking firm. From 1998 to 2003, Mr. Weisman served as President and director of capital markets for H.C. Wainwright & Co., Inc., an investment banking firm. From 1993 t0 1998, Scott was a Senior Managing Director and Director of Investment Banking of Josepthal & Company. Prior thereto, Mr. Weisman was a practicing securities attorney and a partner in the law firm of Kelley Drye & Warren LLP. Mr. Weisman received a J.D. from Albany Law School and a BA from Utica College of Syracuse University.
Alex J. Fredericks, Partner, Ernst & Young - Alex is a partner and the Transaction Accounting Advisory Services leader and Northeast Sub-Area IPO leader in Ernst & Young’s Financial Accounting Advisory Services (FAAS) practice. In this capacity, he assists in advising the Firm’s clients on current accounting and reporting matters with an emphasis on capital markets transactions, including IPOs, debt offerings, acquisitions and divestitures. Major clients include Warburg Pincus, The Carlyle Group, and Providence Equity Partners. Alex has given advice in connection with several IPOs and debt offerings, including Brookdale, Cheniere Energy, Kosmos Energy and Cloud Peak. In addition, he has been involved in transactions by Bunge, Kimberly-Clark, Lexmark, Microsoft , Monsanto and Sealed Air. Alex has over seventeen years of public accounting experience working with companies in various industries. He has extensive knowledge and experience dealing with generally accepted accounting principles and SEC accounting and reporting issues. Alex is a member of the Firm’s financial instruments and business combinations/consolidation National Practice networks, which provide subject matter guidance to both Firm professionals and clients.
Alex graduated with honors from University at Albany the State University of New York with a B.S. degree in accounting and currently serves on the University’s Accounting Department’s Advisory Board and the Alumni Association Board of Directors.
