Program Description

Consisting of and moderated by experienced CFOs who have recently completed diverse exits for their own organizations, this session will provide a variety of perspectives on how to strategize, plan and execute a successful liquidation event, whether it be a merger or an acquisition. This discussion will follow the chronology of transaction, from initial charter to the final day of the deal, and detail the challenges and solutions our panelists found along the way.

Justin Palmer is a Director at Genesis Capital. Justin’s unique experience includes investment banking, executive management and commercial banking. He has established himself as a valued advisor to businesses and as an energetic leader in our community. Justin works closely with businesses to execute mergers and acquisitions, raise capital and advise on other strategic opportunities. He has successfully closed transactions in a variety of industries and served public companies as well as private, family owned businesses.

Prior to joining Genesis Capital, Justin served clients at Mazzone & Associates, a boutique investment banking firm. At the firm, he closed several opportunities that included sell-side, buy-side and recapitalization transactions for middle market companies. Justin also served as Vice President of Corporate and Business Development at Automated Systems Design, Inc. (ASD), where he sourced acquisition opportunities and led the Company’s business development team.

Justin began his career with Branch Banking & Trust Corporation (BB&T) and graduated from its prestigious Leadership Development Program. He succeeded in several roles, including serving on an ad-hoc merger integration team and was quickly promoted to Vice President with the bank. As a relationship manager in commercial banking, Mr. Palmer primarily served middle market commercial and industrial companies with financing and banking services. He underwrote and originated various credit facilities to support organic growth, mergers & acquisitions, recapitalizations, bond issuances and several other opportunities.

Justin’s impact in our community is felt in a number of ways. Early in his career, he founded Club Blue to support the Boys & Girls Clubs of Metro Atlanta and currently serves on the organization’s Board of Directors in DeKalb County. He is a member of the American Enterprise Institute’s Leadership Network. He serves his alma mater as a mentor for the Honors Program in the Robinson College of Business at Georgia State University. Justin is also a former Board member of the Atlanta chapter of the Association for Corporate Growth, where he most recently served as chairman of the Georgia Fast 40 Awards.

Justin and his wife are the proud parents of a daughter and active members at Peachtree Presbyterian Church in Atlanta.

Justin earned his Bachelor of Business Administration in Finance from Georgia State University and his Master of Business Administration from the University of Georgia.


Bruce Benator is WBL’s managing partner, serving as the chief executive officer and culture curator of this growing accounting and advisory firm. As a business owner, executive and accountant, he helps his clients with both strategic and financial guidance. Bruce is also a member of the firm’s Assurance Services department, and leads the Transaction Practice. He has provided assurance and advisory services to emerging, middle-market and closely held businesses for more than 35 years.

As a seasoned auditor, Bruce coordinates and manages audits and reviews of private companies, and audits of employee benefit plans in industries including manufacturing, distribution, professional services, software and staffing companies. In his role as the Transaction Practice Leader, Bruce conducts buy-side and sell-side due diligence and consultation engagements of all sizes and complexity. He also leads the firm’s software & technology industry group, working with start-ups and growing tech companies at every phase of their life cycle, and he co-leads WBL’s staffing industry group.

Larry Brown is a “hands on” CFO / Financial Executive with diverse experience in public and private international hardware, software, and service technology enterprises, as well as a Big 4 CPA firm. He has a proven track record of improving cash flow, profitability and operations. Larry played key roles in successful sales of six companies, including four in the last 12 years. He is experienced working as CFO of private equity and venture capital backed companies and also working for a private equity firm. Larry graduated from the University of Georgia and maintains an active CPA license.


Ken Gayron has held roles as CEO and CFO with both strategic and operational experience for technology-driven, public and private companies. He has demonstrated success in high growth businesses and turnarounds, and functions effectively at strategic and tactical levels. Ken is a trusted business partner and advisor to CEOs, boards of directors and executive management by delivering financial leadership through extensive experience in finance and administration, strategy, accounting and financial reporting, business and financial planning, mergers and acquisitions, capital raising, investor relations, risk management and business systems. He has built invaluable relationships and a network across Wall Street with over 60 completed transactions (M&A, IPO, Financings) ranging from $20 million private placements to multi-billion M&A and debt offerings.


John McEwan, CPA is CFO for Peoplenet Corporation. He is an executive with a proven track record of finance and operational leadership success across multiple industries and numerous company ownership structures and sizes. John utilizes keen analysis, insights and team approach to drive organizational improvements and implementation of best practices. Superior interpersonal skills, capable of resolving multiple and complex (sales, human resources, legal, financial, operational) issues and motivating staff to peak performance. Peoplenet Corporation is a private-equity (PE) owned SAAS company focused on workforce management. Specifically, providing time and attendance services for enterprise level customers in the healthcare and contingent labor space annually processing over 17b in payroll. Five-year CACR has been over 20% resulting in two successful sales resulting in over 3.5x return for our investors within 18 months.
