Contract Basics

For Small Businesses

This course is intended to help you identify the contract terms to which you should pay the closest attention to your commercial deals. These terms are common across a wide variety of transactions, and in all cases, they are the ones you should review for any given deal. Bear in mind that your perspective will depend on your interest or role in a transaction. It is hoped that with this basic familiarity with top-level issues, you will be better able to assess (and manage) the contract-related risks associated with your business, and that when you meet with your lawyer, you’ll be able to have a better-informed conversation about the terms most critical to include (or exclude) from agreements drafted for you or which you encounter.

This course is not intended to be a comprehensive guide on contract issues, and it does not constitute legal advice. For that, we strongly encourage you to engage a lawyer. Price & performance specifications are not addressed here--there are just too many possibilities. That said, do be sure to capture these things in your agreements in a form sufficiently tight such that each party’s rights and/or obligations are clear. If you get only this part right, you’re in pretty good shape.

The critical point to take away from this course is that for any type of commercial transaction, there are terms that at least one of the parties will have a strong interest in defining clearly and in a way it can enforce against the other party. In most cases, both parties will have such interests (though the outcomes they desire may differ). In the end, even the best-drafted contract can’t keep conflicts with trading partners from arising, but well thought-out agreements can go a long way to preventing unpleasant surprises when disputes do occur.
