Please join us for a timely and important discussion about the impact of recently passed legislation reforming how the United States reviews foreign direct investment through the Committee on Foreign Investment in the United States (CFIUS). CFIUS reviews have become increasingly complex as the number and types of transactions have become more numerous and complicated in recent years. In particular, investments originating from countries such as China and involving advanced technology areas such as microelectronics, artificial intelligence, and robotics have become more prevalent. In response, Congress passed the Foreign Investment Risk Review Modernization Act of 2018 (FIRRMA) in late 2017 as part of the National Defense Authorization Act. FIRRMA broadens CFIUS reviews to include real estate transactions (including leases) in proximity to sensitive government installations, as well as non-controlling foreign investments in critical infrastructure and critical technology companies.

Under the leadership of the Department of the Treasury, CFIUS is now working to implement FIRRMA. In October, for instance, Treasury published an interim rule to establish a pilot program on specific non-controlling foreign investments in U.S. businesses that are involved in critical technologies.

As companies across the government contracting marketplace pursue partnerships and investments to expand into existing and new technology areas, what are the implications of FIRRMA for their businesses? How will the expansion of CFIUS authority impact the landscape of business involved in the business of national security?
