Meet our Panelists:

James B. Mann is a partner with the Tax practice group Greenspoon Marder LLP. Mr. Mann has over 25 years of experience serving as a trusted advisor to a broad range of stakeholders in the energy and financial services industries. He counsels clients on the new changes in the tax law, as well as cannabis tax issues. Mr. Mann advises financial institutions regarding international tax, structuring renewable energy asset-based bank loans and securitizations, cross- border tax-advantaged partnerships and securitizations, project finance, and renewable energy deals. He holds a J.D. from Harvard Law School and an MBA from Columbia Business School.


Ronit Dvir-Bacalu is the Chief Financial Officer of Kalyx Development Inc, a Cannabis REIT. She has over 15 years of experience in growth companies across the technology, information, communication, entertainment, financial services and real estate industries. Ms. Bacalu recently served as the Chief Financial Officer of Sapir Organization, a leading real estate holding and development company with over 6 million square feet of Class A office, residential and hospitality space in Manhattan. During her tenure at Sapir, the company sold 11 Madison Avenue for approximately $2.6B, the largest New York real estate transaction recorded to date.

Ms. Bacalu began her real estate career as Vice President of Finance for Africa Israel USA, a $4 billion holding company and wholly-owned subsidiary of Africa-Israel Investments, LTD. Before Africa Isreal USA, Ms. Bacalu spent 7 years in the New York and Israel offices of PwC, serving both VC-backed and publicly traded technology companies and implementing Sarbanes Oxley in its early years as one of PwC’s Sarbanes-Oxley specialists.

Mark Fawer is a partner in the Real Estate practice group at Greenspoon Marder LLP. Mr. Fawer focuses his practice on matters including the representation of institutional, fund and private capital sources in every aspect of subordinate real estate financing, including mezzanine lending, B-notes and preferred equity investments covering every major asset type, such as for rental and for sale residential, hospitality, retail, office, student housing, mixed use and industrial properties. In his practice, Mr. Fawer has successfully negotiated intercreditor and co-lender agreements with many of the most active senior lenders in the industry and has helped structure cutting edge financings in some of the most challenging contexts.

In addition to his extensive subordinate financing practice, Mr. Fawer also counsels clients from “term sheet to closing” in most aspects of a wide range of other real estate transactions, including complex partnership, joint venture, and limited liability company operating agreements as well as the acquisition, development and disposition of properties locally and nationwide. He holds a J.D. from University of Pennsylvania Law School.

Michael Zaytsev, or Mike Z, is a business coach, best-selling author, and award-winning Cannabis entrepreneur. He began his career in private wealth management at J.P. Morgan's Private Bank and then moved into enterprise software sales at Google. As founder of High NY one of the world's largest Cannabis Meetup communities and a frequent public speaker, Mike Z has facilitated plant-based education for thousands of people all over the world. His TEDx talk invites people to “Think Differently About Cannabis.

Mike Z is author of "The Entrepreneur’s Guide to Cannabis" and his work has been published in Forbes, Entrepreneur, International Business Times, and more. He’s a proud alumnus of Stuyvesant High School and Claremont McKenna College.
