This futuristic role-playing looks at legal issues that may arise in negotiating an acquisition of a company that heavily uses artificial intelligence solutions. The negotiators themselves appear to be using AI tools that may be in common use by M&A lawyers in the near future. While the exercise is light-hearted, the issues are serious. After the mock negotiation, we will take a closer dive into the many AI-related legal issues raised during negotiation.

Presenters: Susan Altman and Adam Kelson, Christopher Verdini and Carly Schimizzi K&L Gates

Susan Altman navigates businesses through the complexities of today’s technology-enabled commercial transactions in order to help lower costs and improve revenues. Ms. Altman helps clients properly structure contracts in ways that foster long-term, positive commercial relationships, whether through subscription agreements, licensing, strategic alliances, or outsourcing transactions. For example, she recently structured all of the commercial contracts to launch a digital exchange through which institutional investors, banks, broker-dealers, and registered advisors may access model investment portfolios and other investment products and services.

Ms. Altman brings to bear a substantial background as a transactional lawyer serving clients in a broad array of commercial needs. In addition to assisting clients with IT and business process outsourcing activities, Ms. Altman has negotiated commercial contracts across the breadth of global supply chain networks, from manufacturing to distribution and retail, and has supported the commercial launch of numerous cloud-based services. She has also negotiated licenses of intellectual property rights in the software, IoT, FinTech, data analytics, artificial intelligence, medical device, and biotechnology industries. She addresses privacy and data protection in commercial contracts, including many transactions in the financial services and healthcare industries.

The commercial transactions and outsourcing arena demands technically sound, practical advice, informed by awareness of market conditions and best practices. To meet this need, Ms. Altman draws from the knowledge base and assistance of the Commercial Technology and Sourcing practice group, located across four continents, as well as firm resources in areas such as intellectual property, privacy and data protection, cybersecurity, artificial intelligence, blockchain, tax, employment, dispute resolution, bankruptcy, antitrust, and FDA.

Ms. Altman is a frequent lecturer on commercial and technology issues affecting companies on the edge of tomorrow.

Adam Kelson is a partner in the firm’s Pittsburgh office and a member of the emerging growth and venture capital practice group. Mr. Kelson represents business and entrepreneurs in numerous commercial, corporate, and financial transactions, both nationally and internationally. He has represented investors, businesses, and management in transaction matters, including mergers and acquisitions, joint ventures, recapitalizations and equity and debt securities offerings. Mr. Kelson counsels entrepreneurs and emerging growth companies throughout the lifecycle of their businesses, including formation and start-up, corporate and business counseling, capital raising transactions, and commercial relationships. His experience spans a variety of industries, from core manufacturing to service industries and high-tech.

Mr. Kelson represents borrowers, bankers, and private lenders in secured and unsecured financing transactions, including asset-based loan transactions, receivable facilities, factoring transactions, equipment leases, and project finance.

In addition, Mr. Kelson represents investment managers in the structuring and formation of onshore and offshore private investment funds and structured financial products.



Christopher M. Verdini is a trial attorney who focuses on intellectual property litigation and intellectual property counseling. He played a lead role in the pretrial and trial efforts that led to obtaining a $1.17 billion verdict for a client in a patent infringement case; the largest verdict in the U.S. in 2012 as reported by the National Law Journal and the third largest ever in a patent case. Mr. Verdini also obtained one of the largest verdicts in Pennsylvania in 2013 for a client in a patent infringement case. Mr. Verdini litigates trademark infringement, copyright infringement, misappropriation of trade secrets and unfair competition/false advertising cases. He counsels entertainment, media and consumer product clients on trademark clearance, registration, maintenance and enforcement issues and litigates trademark opposition and cancellation proceedings before the U.S. Patent and Trademark Office.

Among other clients, Mr. Verdini represents World Wrestling Entertainment, Inc. in trademark infringement cases, trademark opposition and cancellation proceedings and intellectual property and contract disputes. He leads the intellectual property enforcement efforts of a well-known music band and has counseled a large retailer on trademark, trade dress and copyright issues. Mr. Verdini has tried patent infringement and copyright infringement cases and managed large intellectual property litigations through all major stages, including arguing summary judgment, pretrial and post-trial motions.

Mr. Verdini was appointed by the Judges of the Western District of Pennsylvania to be a member of the Advisory Committee for the Study of the Local Patent Rules and a member of the Local Civil Rules for the Western District of Pennsylvania, is co-author of the intellectual property chapters in the “Expert Witness Answer Book” that the Practising Law Institute has published annually since 2012 and has been selected to the Pennsylania Rising Star List from 2014-2017. While an undergraduate at Harvard University, Mr. Verdini was a two-time letterwinner for the Harvard football team.

Carly Schimizzi is an associate in the firm’s Pittsburgh office where she is a member of the emerging growth and venture capital practice group.

Prior to joining the firm, Ms. Schimizzi was an associate in the Pittsburgh office of a national law firm for more than three years. In addition, she was a corporate and tax associate for a national law firm for two years. She worked in the office of chief counsel of the IRS from 2011-2012.
