A review of drafting tips and contract clauses that corporate counsel can use to protect the company in the event of litigation.

Patrick Abramowich
Patrick concentrates on complex commercial litigation and employment matters, with an emphasis on the retail, franchising, and pharmaceutical industries. He regularly counsels businesses on a variety of employment matters and handles employment discrimination litigation and other employment-related disputes.

Patrick’s experience includes:

  • litigating a variety of breach of contract and Uniform Commercial Code claims, including a multi-million-dollar breach of contract suit for a pharmaceutical manufacturer
  • handling claims relating to partnership and corporate dissension
  • litigating restrictive covenant, stock option, and executive compensation claims
  • defending national class actions regarding franchise system standards

Before Fox Rothschild

At the University of Pittsburgh, Patrick was a 1989 Truman Scholar from Pennsylvania and president of his third-year law school class.

Beyond Fox Rothschild

An Elder (and former Deacon) of the Community Presbyterian Church of Ben Avon, he is currently the Clerk of Session. Patrick is also an actor with Players and Dry Bones Productions as well as the Ben Avon Community Theatre, where he holds the position of Vice-President.

Bill Stang
With Fox Rothschild, Bill has served as Office Managing Partner of the firm's Pittsburgh office and a member of the firm's Executive Committee.

Professionally, Bill has focused on resolving a broad range of business disputes for more than 25 years, emphasizing preventive strategy when possible and litigation when necessary. Among his ongoing clients are:

  • Middle-market businesses, of which he has represented more than 100 in the past 4 years
  • Health care practice groups and individual providers
  • Trusts and estates involved in various litigation matters

Co-Chair of the Pittsburgh office litigation group, Bill handles general and complex commercial matters for a variety of clients. He has substantial trial and appellate experience in federal court, state courts, and AAA arbitrations in:

  • Shareholder and partnership disputes
  • Professional license disputes
  • Protection of confidential business information and trade secrets
  • Restrictive covenants and business non-compete issues
  • Estate and Fiduciary litigation matters, including will contests
  • Copyright infringement matters
  • Contract and business disputes
  • A wide variety of health law matters, including False Claims Act and misbranded drug disputes


Bill’s experience also includes:

  • Serving as a court-appointed corporate custodian in connection with shareholder disputes
  • Representing title insurance companies in their efforts to recover misappropriated settlement funds
  • Representing health care professionals in disputes with corporate and institutional employers
  • Handling matters of first impression on the appellate level, including successfully invalidating an arbitration clause in an executed trust agreement to protect an individual’s civil rights
  • Representing a major bar association as an amicus in the Pennsylvania Supreme Court where it was determined the attorney-client privilege attaches not just to communications made by clients to attorneys, but also by attorneys to clients
  • Representing health care providers in False Claims Act and qui tam litigation and negotiations
  • Drafting and enforcing prenuptial and cohabitation agreements


Beyond Fox Rothschild

Bill has presented CLE programs for the Pennsylvania Bar Institute on various business litigation matters. He has also lectured on protection of business trade secrets and alternative dispute resolution techniques.

As a past chairperson of the Allegheny County Bar Association Appellate Law Committee, Bill has planned and served as a moderator for CLE programs involving justices, judges and personnel from each of the Pennsylvania appellate courts.

Bill is currently co-chair of the Allegheny County Bar Foundation's Attorneys Against Hunger Committee.
