In preparation for the approaching busy season, Devine Millimet's Tax Team invites you and your colleagues to attend a complimentary seminar.

This year we will focus on developments in New Hampshire taxation which occurred in 2017as well as provide an update on the current status of use tax collection and reporting trends regarding internet sales made by New Hampshire businesses to their out-of-state customers.

In addition, as we have seen more and more New Hampshire businesses look for advice on business transition planning our team will also provide information on using ESOPs to meet ownership succession goals.

At this seminar, we will highlight:

  • Legislative Changes to the NH tax statutes enacted in 2017;
  • Changes to Department’s Administrative Rules adopted during 2017;
  • Technical Information Releases issued by the Department during 2017;
  • Declaratory Ruling issued by the Department;
  • Proposed legislative changes for the upcoming 2018 session of the Legislature;
  • Collection of use tax on internet sales by New Hampshire businesses;
  • Update on the Legislative Study Committee reviewing business tax apportionment provisions;
  • Employee Stock Ownership Plans as tax efficient ownership transition solutions – What is it and why use it?

PRESENTERS

Jon B. Sparkman, Esq., CPA
Jon is a shareholder and chair of the Firm’s Tax Practice Group. In his tax practice, Jon represents businesses of all sizes in tax planning as well as in audits and administrative appeals of New Hampshire tax matters before the State of New Hampshire Department of Revenue Administration. Serving as outside general counsel to businesses and non-profit organizations, Jon's business law practice combines his past tax experience and background as a CPA with his recent experience as the President of the Firm to provide clients with practical, real-world advice that both meets the client’s strategic objectives while managing risks at an acceptable level.

Maurice P. Gilbert, CPA, MST
With more than 40 years of tax experience- 25 years of which were with the New Hampshire Department of Revenue Administration in various roles, including director of the audit division- Maurice provides businesses and individuals advice on federal and state tax planning relating to mergers, acquisitions, or the sale of a business by identifying potential tax compliance issues as Devine Millimet's Director of State Taxation. He represents individuals, corporations, partnerships, and LLCs before the IRS and State Departments of Revenue on various tax matters. Maurice's knowledge of the ever-changing tax laws and regulations help him determine a client's actual or potential multistate tax exposure, and his experience in New Hampshire's unique tax provisions is especially valuable to the construction, real estate, technology, hospitality, and manufacturing industries navigating the state's tax requirements.

Tabitha Croscut, Esq.
Tabitha is a shareholder and chair of the ESOP Team at Devine Millimet, with a national practice focused on Employee Stock Ownership Plans (ESOPs) as succession and employee compensation strategies. In addition to counseling clients regarding transactional, compliance and fiduciary issues with respect to their ESOPs, she has represented companies, sellers, and internal and external trustees in ESOP transactions ranging from under a million dollars to over four hundred million dollars. She is a frequent speaker at ESOP conferences nationwide and presents regularly on how ESOPs can be an effective exit or transition planning tool for owners of closely held businesses. Tabitha serves as a director and former President of the Vermont Employee Ownership Center (VEOC), is an active member of The ESOP Association serving on its Legislative & Regulatory Committee, the National Center for Employee Ownership (NCEO), and also serves on the Board of Trustees for the Employee Ownership Foundation.
