Special General Meeting of CIPS Loyalist Jan. 29th 2010 - LUNCHEON
Notice: This will be an informational session only as the vote on Special Resolution #2010 will have to be postponed due to the required CIPS-NB BYLAWS Revisitation.
A group representing the CIPS NB provincial body as well as the Loyalist and Fredericton sections have been working towards a restructuring of CIPS to better align with the new governance structure adopted at the National level. Further information on this may be found at: http://www.cips.ca/node/378.
In brief, the plan is to merge the existing Loyalist and Fredericton sections with the provincial body. This will allow us to streamline the administration of CIPS in New Brunswick and eliminate redundancies in the executive functions. In order to retain a local presence, existing sections will be re-cast as "Local Event Committees (LEC)" that will operate much as they have in the past but under the auspices of the provincial body instead of the National organization. As a first step in this process, it was necessary to amend the existing by-laws of CIPS-NB to reflect the new structure. This motion was put forward to the provincial body and it received sufficient votes for a quorum and CIPS-NB bylaw amendment motion was passed.
The next step in the process involves re-shaping the Loyalist and Fredericton sections into Local Event Committees
Under the CIPS Loyalist bylaws it is required that CIPS Loyalist hold a Special general meeting for CIPS Loyalist section to present and have the membership vote on the following special resolution motion:
Special Resolution #2010
It is moved by Derrick Walsh and seconded by Colin Hattie that CIPS Loyalist be dissolved upon approval by the membership. It is further moved that all assets of CIPS Loyalist be transferred to CIPS-NB and further that no portion of the assets be transferred to CIPS National.
All CIPS Loyalist members in good standing are entitled to vote on this important resolution . This work is required by the reorganization that occurred last year at the national level. Responsibility for the sections was transferred from National to the provinces .

The following is Extracted from the CIPS Loyalist Bylaws
Section 8. MEETINGS, NOMINATIONS AND ELECTIONS
B. Meetings of the Section may be called at any time by the President or Board, by notice in writing at least ten days prior to the day of such meeting to the last known address of each member. A Special Meeting shall be called by the Board upon receipt of a petition signed by one-third of the voting members in good standing setting forth the reasons for calling such a meeting.
C. The calling of all such Special Meetings (including any meetings at which a Special Resolution is to be considered) and the Annual General Meeting, shall be by notice in writing at least ten days prior to the meeting to the last known address of each member. The Annual General Meeting will normally be held as part of the May event.
D. Regular Members in good standing shall constitute a quorum at any meetings, and all votes must be made in person and not by proxy or otherwise, except that ballots for election of members of the Board shall be accepted by the Secretary from Regular Members who can not attend the annual general meeting.
Section 11. SPECIAL RESOLUTIONS
A. Special Resolution means a resolution that must be passed by a majority of not less than 75% of such members entitled to vote who are present in person at a meeting during which such a resolution is to be considered.
B. The By-Laws of the Section shall be added to, altered or rescinded only by such a Special Resolution.
C. Notice of motions to add to, alter, or rescind any By-Law of the Section must be supported by at least five members in good standing and submitted in writing to the Board, which shall authorize the President to submit same in writing to the membership, at least ten days prior to any stated meeting.
Section 12. ADOPTION
A. Amendments consistent with the Society's Constitution shall be included in the By-Laws of the Section
