    Corporate Formation: Focus on the best way to set your company up for venture funding – including choice of entity, where to incorporate, and issues to consider in structuring founders equity. 

    Speaker: Fiona Brophy 

    Fiona Brophy is a partner at Perkins Coie's  Palo Alto office and a member of the Emerging Companies and Venture Capital practice. Fiona focuses her practice on providing a broad range of services to emerging companies and venture capital funds in the technology area, primarily in consumer e-commerce, interactive entertainment, digital media, information technology, Internet and social media, cloud services and life sciences.  She represents start-up companies through all phases of their existence - serving as "virtual" general counsel from formation to venture financing to day to day operations to their ultimate exit through an Initial Public Offering (IPO) or merger. She has represented private companies and venture capital funds in hundreds of transactions such as venture capital financing and private equity transactions, debt financings, complex restructurings and spin-off transactions and she has a robust merger and acquisitions practice, ranging in size from several million dollars to $300+ million dollars.  Fiona co-authored "The Public Company Handbook: A Practical Guide for Officers and Directors," published by Bowne Financial Printing.

    Speaker: David Wood 



    David Wood is a counsel at Perkins Coie's  Palo Alto office and a member of the firm's Emerging Companies and Venture Capital practice. David's practice includes capital formation (including private financings of equity and debt securities), mergers and acquisitions and business transactions, including joint ventures and technology transfer transactions. David has represented companies in transactions across a wide array of industries, including, among others, software, computer hardware, digital media and Internet services.  

    David's clientele includes startup and well-established emerging growth companies and a number of non-profit organizations, including The Glow Foundation and Kiwanja. His practice also includes providing day-to-day counseling to such companies (and their boards of directors) on a wide array of corporate matters.
