Dave Cappillo (@DaveCappillo – Partner in Tech Group at Goodwin Procter) will lead a discussion on critical startup legal issues, including:
- Appropriate choice of entity (limited liability company vs. corporation) given certain characteristics of the business and fundraising needs
- Intellectual property ownership and protection
- Founder equity considerations (including equity split and vesting)
- Governance matters
- How to structure the initial capital infusion
Students are encouraged to review www.foundersworkbench.com prior to the session. The goal is to arm students with the legal basics on start-up formation and co-founder matters.
