On October 23, 2013, the Securities and Exchange Commission (the “SEC”) proposed rules to implement the new crowdfunding exemption passed by Congress in the JOBS Act. The proposed crowdfunding rules are an avenue for entrepreneurs, startups and established companies to solicit working capital over the internet from non-accredited investors. Companies can raise up to $1 million in capital per year via internet crowdfunding platforms without the requirement of registering the securities with the SEC.
