Rachel Sagan is Executive Vice President, Business Affairs & General Counsel of Playboy Enterprises.  Playboy Enterprises is a media and lifestyle company that markets its brand through a variety of media properties and licensing initiatives. The company publishes Playboy magazine in the United States and abroad and distributes content globally via television networks, websites, mobile platforms and radio. Through licensing arrangements, the Playboy brand appears on a wide range of consumer products in more than 150 countries, as well as retail stores and entertainment venues.

Ms. Sagan facilitates the business development and manages the legal affairs for Playboy’s enterprise portfolio.  Ms Sagan serves as a key partner with management and ownership to achieve the strategic objectives of maximizing value, minimizing liability and growing the business and the Playboy brand through acquisitions, dispositions, partnerships, investments and outsourcing. Additionally, she works to capture operational synergies through revenue generating opportunities and cost saving initiatives. 

Ms. Sagan supports activities across the company’s capital and debt structure and oversees intellectual property protection/enforcement, regulatory compliance, litigation/claims handling, and risk management across the enterprise.   

Prior to joining Playboy Enterprises in 2011, Ms. Sagan was Vice President and General Counsel of Freedom Communications, a diversified media company that went through several restructurings and recapitalizations during Ms. Sagan’s tenure. 

Before that, Ms. Sagan served as an associate at the law firm of Gibson, Dunn & Crutcher, where she facilitated a variety of corporate transactions and provided a wide range of advice to public and private companies in the areas of securities, debt, capital restructuring and commercial contracts.

Ms. Sagan also practiced at the law firm of Hancock, Rothert & Bunshoft, where she participated in all phases of complex civil litigation, including pleadings, discovery, mediation, settlement negotiations and trial preparation. 

She earned her law degree from University of Michigan Law School and her Bachelor of Arts degree from Duke University

Ms. Hughes joined Ingram Micro, a Fortune 100 company, in 1997 and serves as its Vice President and Associate General Counsel. Ingram Micro is the world’s largest wholesale technology distributor and a global leader in IT supply-chain, mobile device lifecycle services and logistics solutions. As a vital link in the technology value chain, Ingram Micro creates sales and profitability opportunities for vendors and resellers through unique marketing programs, outsourced logistics and mobile solutions, technical support, financial services and product aggregation and distribution.  Ms. Hughes is responsible for Ingram Micro's corporate securities and other regulatory matters (including NYSE and SEC public disclosure requirements), corporate governance (including board of director matters), corporate finance (including negotiating multi-million dollar financing transactions around the world), treasury, tax, mergers & acquisitions, executive compensation, stock plans, and other matters. In addition, Ms. Hughes supports the company’s executive vice president, secretary and general counsel in a variety of corporate legal matters, including responsibilities as assistant corporate secretary of the company. 

Ms. Hughes has taught “Negotiations Skills and Conflict Management” workshops in coordination with UC Irvine’s Paul Merage School of Business to top company leaders at the week-long Ingram Micro Leadership Academy in 2007, 2008, and 2010. She has also developed and taught “Negotiating and Influencing without Authority” workshops for Ingram Micro’s Global Managers Development Programs in 2010 and 2011, and her company’s North American General Managers Development Program and Marketing Team Learning University in 2009. Most recently she developed and taught the “How to be an Effective Chief Negotiating Officer for Yourself and Your Company” program at the Association of Corporate Counsel’s 2012 Annual Meeting in Orlando, Florida.

Ms. Hughes was born in Hong Kong. She attended Williams College and received her B.A. from the University of California at Berkeley in 1985. A 1988 graduate of Boalt Hall School of Law, University of California at Berkeley, she was the recipient of Moot Court Best Brief Award in 1986 and was the Articles Editor of The Industrial Relations Law Journal from 1987 to 1988. She was admitted to the State Bar of California in December 1988. Before joining Ingram Micro, Ms. Hughes was a partner in the Los Angeles office of Manatt, Phelps and Phillips. Ms. Hughes also previously served as amember of the Pasadena Tournament of Roses Association and as Chairman of the Board of the Greater Los Angeles Chapter and as a member of the Audit Committee of the American Heart Association.

Ms. Hughes was recently elected as Treasurer and member of the Board of Directors of the Southern California Chapter of the Association of Corporate Counsel.  She co-chaired the successful 2012 Street Law Program sponsored by ACC and UCI School of Law. Ms. Hughes has also been appointed to serve on the Orange County Chapter of the California Law Academy Strategic Task Force, a joint project of the California Department of Education and the State Bar of California to build a pipeline of diverse high school students in the California public school system who are aware of and interested in careers in the legal profession.

In 2010, Kate was honored by the Orange County Business Journal as Outstanding General Counsel of a Public Company with revenue over $200 million.

Kate serves as President of the Board of Directors of Human Options, an organization committed to breaking the cycle of domestic violence. Kate is also a member of the North Tustin chapter of National Charity League, a philanthropic, leadership development and cultural awareness community organization for mothers and daughters.

Kate lives in Tustin, California, with her husband, Tim, and two children, Jake, 17, and Claire, 15. 

She received her J.D., Cum Laude, from New York University and her B.A. in Political Science from Stanford University.

Ms. Williams Dapp heads the legal and real estate functions for the North American business of The Sage Group plc.  Sage is a leading global supplier of business management software and services for small and mid-sized businesses.  Sage's parent, The Sage Group plc is publicly traded on the London Stock Exchange and has  more than 12,600 employees and six million customers worldwide. 

Ms. Williams Dapp built the legal department at Sage from ground up and oversees all aspects of legal support for the company including intellectual property, employment, compliance and business counseling.  In the ten years since Ms. Williams Dapp joined the company, she has participated in the acquisition and integration of numerous businesses in the U.S. and Canada.

Prior to joining Sage, Ms. Williams Dapp was a partner with the law firm of Pillsbury Winthrop Shaw Pittman where she was litigator.  She graduated with a BA from UCLA and received her JD from Loyola Law School, Los Angeles.  She is a member of the La Marisa auxiliary of Assistance League of Newport Mesa.

Pamela Palmer is a litigation partner of Latham & Watkins LLP resident in both the Los Angeles and Orange County offices.  Ms. Palmer represents public and private companies, officers and directors in securities and corporate control disputes, including class actions, shareholder derivative suits, and mergers and acquisitions litigation. 

She defends cases involving business judgment, fiduciary and professional liability, and disclosure, including proceedings initiated by the SEC, FDIC, and PCAOB.  Ms. Palmer also represents companies and boards of directors in internal investigations, including matters involving whistleblowers, restatements, insider trading, and auditor-initiated investigations.

Ms. Palmer’s client representations include Fortune ranked companies and span a wide range of industries, including commercial and mortgage banking, financial services, wireless communications, internet entertainment, manufacturing, life sciences, pharmaceutical, and information services.  She also has represented audit firms and CPAs in lawsuits and regulatory matters, including matters arising in the China region.

Ms. Palmer has been named as a leading securities litigation attorney in the US Legal 500 Litigation Guide, as one of the top 100 women litigators in California by the Los Angeles Daily Journal, and as a Southern California “Super Lawyer” in Los Angeles Magazine every year since 2005.  Ms. Palmer has presented and published for a variety of organizations and conferences, including the American Bar Association, the Center for Professional Education, ALI-ABA, and the Association of Corporate Counsel (ACC).

Ms. Palmer is Co-Chair of the Derivative Suits Committee of the ABA’s Class Actions & Derivative Suits Committee and an active member of the Forum for Corporate Directors in Orange County.  She is a member of Latham & Watkins’ Dodd-Frank Task Force and M&A Takeover Defense Group, and serves on Latham & Watkins’ Ethics and Finance Committees.  Prior to private practice, she clerked on the Ninth Circuit Court of Appeal.

Ms. Palmer obtained her law degree from the University of Southern California, Order of the Coif, and served as an Editor of the Southern California Law Review.  Ms. Palmer holds a degree in Philosophy from the University of California, Irvine.
