M & A: Legal Implications – Presented by Wiggin and Dana

A number of factors have contributed to a strengthening environment for M & A. High corporate cash balances, unspent private equity commitments and low interest rates have increased capital available for acquisitions. A challenging environment for organic growth and lagging product pipelines resulting from years of R&D cutbacks have also fueled strategic deal making. We will explore the impact of legal issues and associated deal trends, including things potential sellers can do today to avoid problems down the road and how to find and lock in value as a buyer.
