About the class

Almost every business has to deal with at least a few contracts, and some businesses run almost entirely on contract-based relationships. Getting a better deal for your business is dependent on two things: knowing how contracts work, and knowing how to negotiate. Change-makers often operate with a limited staff that have to wear many hats, including that of the contracts manager. At the same time, they have to deal with larger institutions that have dedicated staff for contracts.

This course focuses on the terms that are found in most services contracts and independent contractor agreements: the description of work, intellectual property assignments and licenses, payments, warranties, indemnity, limitation of liability, nondisclosure provisions, term and termination, and the dreaded ”miscellaneous” boilerplate. It will cover how to negotiate — determining your BATNA, being willing to walk away, choosing your battles, anchoring, and compromising — and how those tactics pertain to the contract document.

One of the things about negotiations courses is that they help with life in general as well as business, because everyone is negotiating all the time: with friends and family members as well as with business counterparties. It helps to be aware of what the processes are so you can improve how the process works.


About Joseph Morris

Joe Morris is an attorney with the Berkeley-based virtual law firm mod4 LLP.  He, like the other mod4 attorneys, helps organizations and individuals with the business and legal issues that they face every day. A significant part of that is helping to negotiate contracts, including both interpreting legalese into English, and helping clients ask for the legal/business terms that they want in a coherent, persuasive way.  
Prior to law school, Joe spent three years writing bioformatics software for Berkeley-based startup Neomorphic that was eventually purchased by a larger company, Affymetrix. The startup experience stuck with Joe and led him to co-found mod4 LLP, to focus his practice on assisting entrepreneurs achieve success for their companies.  Joe has practiced in diverse areas of law:  software licensing (including open source and proprietary), trademark and copyright counseling, entity formation, and varied operational issues that affect small and medium sized businesses, including, of course, contract negotiations.  When he’s not helping clients, he loves bike touring, sailing, rock climbing, and cooking.
