Sitting pretty on a public company board: should she care what the shareholders think?  Please join us for a substantive discussion of an illustrative case study at roundtables followed by a moderated panel discussion. 


Collaborative NACD EventWe are pleased to offer 2 hours of education credits through NACD (National Association of Corporate Directors) and also CPE credits for accountants.

Roundtable Discussions: Table leaders will facilitate discussion at each table and seating will be assigned prior to the event. A copy of the case study will be sent to registered attendees the week of the event. Table assignments will be given at event check-in.

Over 30+ years of experience in building and developing high tech companies including executive positions at Norwest Banks (now Wells Fargo), Unisys, Managing Director Apple Asia where she led teams to open the China and India Markets for Apple Computer. CEO of several companies including VeriFone and Palm Computing. In the last decade she has been a “hired gun” for investors and assigned to Chemdex (Kleiner Perkins), BlueKite (TPG), Connection to eBay (Accenture), Firefly Mobile. 

Robin currently serves on several public company boards:  HCL Technologies, Unwired Planet, Sierra Wireless, FactSet Research and Lattice Semiconductor.  Robin is focused on two primary non-profit activities: the Los Altos School District finance committee (CACF) and the Anita Borg Institute which promotes science and technology education and careers for women.

Ms. Bronner is a senior business leader with an outstanding track record delivering strong, profitable revenue and market share growth for marquee brands – Jim Beam, Revlon, Nabisco, AT&T, Haagen-Dazs and Citibank.  She has demonstrated success in change management, business turnarounds, organization restructuring, and high-performance team building.  Her proven ability to build brands is the result of strong consumer insights, strategic integrated marketing and superior market execution.

Ms. Bronner is a Managing Director of Mistral Equity Partners, LLC.  Mistral is a private equity firm that specializes in the consumer and media sectors.  Portfolio companies include Shearer’s, Jamba Juice, Worldlynx, LoveSac, Vino Volo, XpresSpa and Country Pure Foods.

Ms. Bronner was Global Chief Marketing Officer of Beam Spirits and Wine, President of consumer businesses for Revlon, Haagen-Dazs and Sunbeam and held senior marketing positions across a diverse group of consumer focused product and service industries.

Ms Bronner has had significant board director experience.  Previous board assignments include Assurant, Inc., The Hain Celestial Group, Syms, Inc., Jamba Juice ,  Cool Brands International, Reddy Ice, Inc. and Oak Industries.  Her committee experience includes audit, compensation and governance as well as two special committees.  She has chaired the compensation committees for both Hain Celestial and Assurant, the governance committee for Cool Brands and the Assurant Special Committee during an SEC investigation.

Ms. Bronner received a B.A. from Vassar College and an M.B.A. from the University of Chicago.  She currently serves on the boards of several not-for-profit organizations including The Goodman Theater, President’s Advisory Council for Vassar College and The Marketing Steering Committee of the University of Chicago Booth School of Business.  She is a former member of the board of The Cradle Foundation, The University of Chicago Laboratory School, The New School and The Women’s Board of the Museum of Contemporary Art.

Ms. Blair is a transactional partner practicing in the areas of corporate, mergers and acquisitions, securities, finance, and general commercial matters. She serves as the managing partner of the Los Angeles Corporate Practice. She has advised both sellers and buyers on a variety of complex transactions, including stock and asset sales, mergers, management and leveraged buy outs, joint ventures, strategic alliances, and reorganizations. She represents companies in the structure, negotiation, diligence, and completion of transactions ranging from several million dollars to more than $500 million. She has worked in a diverse range of industries, such as mortgage banking, consumer and retail goods, internet and telecommunications, foreign manufacturing, biotechnology, and travel.

Ms. Blair also has extensive experience representing companies and underwriters in various corporate finance and capital market transactions, including IPOs, secondary and follow-on offerings, registered direct and at-the-market offerings, reverse mergers, PIPEs, offshore transactions, trust preferred, debt and preferred stock offerings, tenders offers, going private transactions, and venture capital financings.

She advises companies on state and federal regulatory and governance and compliance matters related to the SEC, FINRA, NYSE, NYSE Amex, Nasdaq, state regulators, and other authorities. Ms. Blair also acts as consistent corporate counsel for companies advising them on general corporate matters, including Board and management counseling, disclosure matters and controls, equity compensation, and other business matters.

Over her 25 year career, Moira has provided strategic counsel to managements, boards and communications teams of over 100 public and private companies in a variety of industries, including business services, consumer, traditional and renewable energies, engineering & construction services, financial services, health care, technology, and telecom.

Moira has led numerous investor relations programs, assisting clients with valuation issues, corporate positioning and message development, earnings communication, investor presentations, guidance, disclosure, investor and analyst targeting, financial media outreach, analyst days, annual reports and board presentations.

Moira has advised numerous companies on transactions including initial public offerings, spin-offs, divestitures and mergers and acquisitions. She has also provided communications counsel to companies facing a wide variety of crises including significant earnings disappointments, options backdating, activist shareholders, employee lay-offs, management transitions and litigation.

Prior to founding Financial Profiles, Moira was a managing director at The Abernathy MacGregor Group, a leading financial PR firm specializing in transaction communications, crisis communications and investor relations. Previously, Moira was executive vice president of Financial Relations Board, where she directed the agency's West Coast investor relations practice.

Moira began her career as an investment banker at Merrill Lynch & Co., where she assisted banks and thrifts with equity, debt, money market and mortgage finance transactions.

Moira has a bachelor's degree from Georgetown University. She is a member of the National Investor Relations Institute. Moira is a past judge for Ernst & Young's Greater Los Angeles Area Entrepreneur of the Year Program.

She is a CPA and Personal Financial Specialist (PFS), and obtained her MBA from Fordham University. Darya has taught as an adjunct professor of Finance at New York University and has authored many financial planning articles.  Darya is married with three children, lives in Pacific Palisades, CA, and currently serves on the Boards of the Westside YMCA Los Angeles and Mann Healthcare Partners. Darya is also the president of the Los Angeles Chapter of Advisors in Philanthropy (LA AiP).

Elizabeth Greenwood is General Counsel and Chief Compliance Officer of Tennenbaum Capital Partners, an alternative investment management firm focused primarily on credit opportunities. She has a diverse legal background, including extensive in-house investment advisor and private equity experience.

She formerly served as General Counsel and Chief Compliance Officer at Strome Investment Management, L.P. ("Strome"). Prior to Strome, Ms. Greenwood worked at portfolio companies funded by Pacific Capital Group and Ridgestone Corporation, including acting as Assistant General Counsel of Global Crossing Ltd.  Ms. Greenwood began her legal career as an associate at Stroock & Stroock & Lavan LLP.

Ms. Greenwood is a founding member of the West Coast Chapter of 100 Women in Hedge Funds and currently serves on the Board of the Association of Women in Alternative Investing. Ms. Greenwood received a J.D. from Stanford Law School and a Bachelor of Business Administration with highest honors from The University of Texas at Austin.

A multi-experienced and dimensional woman, Eileen started an active business career, which has spanned the last 35 years. Eileen graduated with degrees in Philosophy and Sociology. She started her business climb with Procter & Gamble. While employed there, and then at Pillsbury Corporation, she perfected her persuasive selling skills. She moved on to Southland Corporation and then Chevron, taking positions from multi-unit oversight to marketing, merchandizing, and operations management. Eileen’s next stop was Blockbuster, where she successfully progressed through several positions before becoming the only female to reach to top ranking of Executive Vice President inside Blockbuster! Eileen was responsible for working all franchisees across the United States and Puerto Rico representing 1,050 stores, the company’s non-Blockbuster branded domestic retail concepts, and the operation of Blockbuster’s 450 Canadian stores.  In addition, she served as the Global Diversity Officer driving forward Blockbuster’s global diversity efforts, and successfully developed a world-class diversity council and program that resulted in several national awards by key ethnic/diversity groups.

In 2006, Eileen left corporate America to start her business in Executive Coaching and consulting support. She has successfully supported leadership in the C-Suite, as well as VP and other leadership levels. She is certified in EQ, MBTI, and several other team effectiveness methods. She combines her deep business experience with her natural sense of humor, wrapped up in an impeccable commitment to serving her clients. It is a powerful combination.

In 2011, she took on an Interim Chief People Officer role for one of her key clients. She spent two years helping them work on their culture, senior team, people development process and succession planning. In 2013, she completed her work at Panda, and has enthusiastically returned to her passion …ETC Consulting and Executive Coaching.

Eileen is a widely sought motivational speaker on a range of topics, from Leadership Development, Emotional Intelligence, Diversity Impact, Female Executive Success, and How to create Functional Teams. Additionally, she has always given back to the community by serving on numerous prestigious community and industry boards, several examples being the Women’s Franchising and Distribution Forum Board, the Muscular Dystrophy Association (MDA), and the Urban League Youth Diversion Board.  She was also keynote speaker at the inaugural North Texas Gay/Lesbian Chamber of Commerce as well as the Houston Gay/Lesbian Chamber.  Most recently, she served for 2 years as Co-Chair of the Seattle Mayor’s Commission on Sexual Minorities.
